Item 1.02. Termination of a Material Definitive Agreement
On December 5, 2013, four wholly-owned subsidiaries of Tower Group International, Ltd. (the “Company”), including Tower Insurance Company of New York, CastlePoint Insurance Company, CastlePoint National Insurance Company and Hermitage Insurance Company (each a “Borrower”), entered into a Cancellation Letter (the “Cancellation Letter”) with Barclays Bank PLC (“Barclays”) and Bank of Montreal, London Branch (“Bank of Montreal”), terminating the Letter of Credit Facility Agreement, dated as of November 11, 2011, as amended on March 12, 2012, July 16, 2012 and November 21, 2012, as amended and restated on March 7, 2013, and as subsequently amended on May 2, 2013 and October 22, 2013 among the Borrowers, Barclays and Bank of Montreal as issuing banks, and Barclays as agent and security agent.
