This Current Report on Form 8-K/A is being filed as an amendment (this “Amendment No. 1”) to the Current Report on Form 8-K filed by Bazaarvoice, Inc. (the “Company”) with the Securities and Exchange Commission on November 20, 2013 (the “Original Filing”). The sole purpose of this Amendment No. 1 is to disclose the change in Gene Austin’s compensation in connection with his promotion to the Company’s Chief Executive Officer, which were unavailable at the time of the Original Filing.

Base Salary Increase for Named Executive Officer
In connection with Gene Austin’s promotion to the Company’s Chief Executive Officer, effective January 31, 2014, his annual base salary was increased to $420,000. Such increase is effective as of December 3, 2013.
Bonus Award Increase for Named Executive Officer
The Compensation Committee of the Company approved an annual target bonus for Mr. Austin under the Company’s executive bonus plan for the 12 months ending April 30, 2014 of 80% of his base salary.
