Unregistered Sales of Equity Securities.
|
On December 4, 2013, Village Bank and Trust Financial Corp. (the “Company”) completed the sale of 1,086,500 shares of its common stock to directors and executive officers of the Company at a price of $1.55 per share, or an aggregate of $1,684,075.
The shares were offered and sold pursuant to an exemption from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”) in reliance on Section 4(a)(2) of the Securities Act and Rule 506(b) of Regulation D promulgated thereunder.
A copy of the press release announcing the sale is attached as Exhibit 99.1 to this report and is incorporated by reference herein.
