Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On November 21, 2013, MicroVision, Inc. (the “Company”) amended its Bylaws to change the quorum requirements for meetings of stockholders. As amended, the holders of one-third ( 13) of the shares of the capital stock of the Company issued and outstanding and entitled to vote at the meeting, present in person, by means of a remote communication, if authorized, or represented by proxy, shall constitute a quorum for the transaction of business.

Prior to the amendment, the Bylaws provided that the holders of a majority of the shares of the capital stock of the Company issued and outstanding and entitled to vote at the meeting, present in person, by means of remote communication, if authorized, or represented by proxy, would constitute a quorum for the transaction of business.
