Item 7.01 Regulation FD Disclosure.
The ADT Corporation (the “Company”) issued a press release on November 25, 2013 announcing that it had entered into an agreement to repurchase 10.24 million shares of the Company’s common stock owned by Corvex Management LP, at a purchase price of $44.01 per share. A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
