Item 1.01. Entry into a Material Definitive Agreement.
On November 18, 2013, GAIN Capital Holdings, Inc. (the "Company") entered into an amendment (the "Amendment") to that certain Amended and Restated Investor Rights Agreement, dated as of January 11, 2008, by and among the Company and the investors and founding stockholder identified therein (the "Investor Rights Agreement"). Pursuant to the terms of the Amendment, the right of first refusal granted to the founding stockholder and certain investors under the Investor Rights Agreement was terminated in its entirety, effective as of the date of the Amendment.
