Item 1.01 Entry into a Material Definitive Agreement.


EXPLANATORY NOTE

 

Neah Power Systems, Inc. (the “Company”) files this Form 8-K/A to amend the Form 8-K filed with the Securities and Exchange Commission on February 25, 2013,  announcing  the execution and delivery of  a sales and purchase agreement, dated January 29, 2013, with Ion Geophysical Corporation (the “ION Contract”). A copy of a redacted ION Contract was filed with the Commission on May 20, 2013 as Exhibit 10.47 to the Company’s Form 10-Q for the quarter ended March 31, 2013. The Exhibit 10.47 version of the ION Contract filed herewith amends the prior version and contains the redactions approved by the Commission pursuant to its Order Granting Confidential Treatment under the Securities Exchange Act of 1934, dated November 6, 2013.
