Section 5.06 -Change in Shell Company Status.

 

Based on the current operations of the Longview Real Estate, Inc. (the “Company”), the Company ceased being a shell company as that term is defined in Rule 12b-2 of the Securities Exchange Act of 1934, as amended. The current operations of the Company are described in this Current Report on Form 8-K.

 

The Company was incorporated in the State of Delaware on July 5, 2011. Until recently, the Company was a development stage company engaged in the business of developing an “L-3” stretching apparatus to be used by gym enthusiasts for their exercise activities.

 

On July 3, 2013, the Company changed its name to Longview Real Estate, Inc. in connection with the pursuit of a new business plan. The Company is now engaged in the business of acquiring a portfolio of distressed properties in certain strategic areas at deep discounts, rehabilitating these properties and selling or leasing them for the quickest and highest return possible. The Company’s business office is located at 7702 E Doubletree Ranch Rd. Ste 300 Scottsdale, AZ 85258. The Company’s telephone number is 480.902.3399.

 

In the past few months since the change in business direction, the Company has taken active steps to further its business plan, including the following:

 

  1. On September 16, 2013, the Company raised $4,100,000 in the sale of promissory notes.

  1. From August 2013 to the date of this current report, the Company has acquired 8 properties for a total cost of $2,560,780. These properties are all residential and are located in Florida, Illinois and Washington. Some of these properties are held by the Company and some are held in its wholly-owned subsidiary, Praetorian Capital, LLC, a Florida limited liability company formed on October 22, 2013. The Company intends to renovate these properties and sell them for a profit.

As a result of the foregoing, the Company had $437,680 in real estate inventory as of September 30, 2013. Furthermore, as reported in the Company’s Form 10-Q for the quarter ended September 30, 2013, the Company’s financial statements provide evidence that its operations are no longer nominal. The Company incurred $103,684 in operating expenses in pursuit of its business plan. As such, the Company is no longer a shell company.
