SECTION 4 - MATTERS RELATED TO ACCOUNTANTS AND FINANCIAL STATEMENTS

Item 4.02
Non-Reliance on Previously Issued Financial Statements or a Related Audit Report or Completed Interim Review.

On May 20, 2013 the Company filed its quarterly report on Form 10Q for the period ended March 31, 2013 with the United States Securities and Exchange Commission.  We are currently restating the Quarterly Report for the First Quarter of 2013 due to a change in the accounting for lease operating agreements.  The amendment is to reflect two accounting changes namely: changing accounting for one operation that was originally consolidated as a variable interest entity. The Company determined that the correct accounting method was a leased operation instead of a consolidated entity.  In addition the valuation for an investment in preferred stock was restated to face value.  The filing for the subsequent period reflected the correct method of accounting.

The Company intends to file its interim consolidated financial statements included in the quarterly report on Form 10-Q/A Amendment No. 1 for the period ended March 31, 2013, just prior to the filing of our Form 10-Q for the period ended September 30, 2013.
