Item 5.02 Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 19, 2013, the Board of Directors of Baltimore Gas and Electric Company appointed Ann Berzin to the Board to fill a vacancy on the Board, effective as of December 1, 2013. Ms. Berzin serves as a director of Exelon Corporation, the parent company of Baltimore Gas and Electric Company. Ms. Berzin is not being appointed to any committees, and will receive the standard meeting fee of $2,000 per meeting that Baltimore Gas and Electric Company pays its directors.
