On November 12, 2013, Thomas J. Carella provided notice that he was resigning from the Board of Directors of KAR Auction Services, Inc. (the “Company”), effective upon the closing of the secondary sale of the Company’s common stock by KAR Holdings II, LLC on November 13, 2013. Mr. Carella’s resignation did not result from a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
