Item 8.01                      Other Events

As previously disclosed, on May 14, 2013 Mayflower Bancorp, Inc. (“Mayflower”), the parent of Mayflower Co-operative Bank, entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Independent Bank Corp. (“Independent”), the parent of Rockland Trust Company, pursuant to which Mayflower will merge with and into Independent (the “Merger”) and Rockland Trust Company will acquire Mayflower Co-operative Bank.  On November 5, 2013, Independent and Mayflower issued a joint news release reporting the following in connection with the Merger:

   
All regulatory approvals relating to the Merger have been received and applicable regulatory waiting periods have expired as of November 4, 2013.

   
The deadline for Mayflower shareholders to elect the form of merger consideration they wish to receive in connection with the Merger is 5:00 p.m., Eastern Time on November 8, 2013.

   
The Merger is anticipated to close on or about November 15, 2013.

The transaction remains subject to the satisfaction of customary closing conditions.  For more information, see the joint news release, which is filed herewith as Exhibit 99.1 and incorporated by reference herein.
