On November 7, 2013, Nortek, Inc. (the “Company”) publicly announced its results of operations for its fiscal quarter ended September 28, 2013. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K. This information is being furnished under Item 2.02 and shall not be deemed "filed" for purposes of Section 18 of the Securities and Exchange Act of 1934, as amended, or otherwise subject to the liability of such section.
Item 5.02 | DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENT OF CERTAIN OFFICERS |
On November 6, 2013, Joseph M. Cianciolo notified the Board of Directors (the “Board”) of the Company that he will not seek re-election to the Board at the Company’s 2014 Annual Meeting of Shareholders (the “2014 Annual Meeting”). Mr. Cianciolo will continue to serve as a Director on the Board, the Chairman of the Audit Committee, and a member of the Nominating and Corporate Governance Committee of the Company until the Company’s 2014 Annual Meeting. The Board will conduct a search for a candidate to replace Mr. Cianciolo.
