Explanatory Note
Liberty Interactive Corporation (the "Company") hereby files this Current Report on Form 8-K/A to amend the original Form 8-K filed with the Securities and Exchange Commission on October 17, 2013 in its entirety for the sole purpose of updating the time of the release of the Company's third quarter earnings on November 5, 2013.
Item 7.01. Regulation FD Disclosure
On October 24, 2013, Liberty Interactive Corporation issued a press release, attached hereto as Exhibit 99.1, announcing it will release its third quarter earnings on Tuesday, November 5th, at 4:00 p.m. (ET). Greg Maffei, the Company's President and CEO, will host the call. During the call, Mr. Maffei will discuss the Company's financial performance and outlook and may discuss the proposed creation of the Liberty Digital Commerce Group tracking stock, as well as other forward looking matters.
This Item 7.01 of this Current Report on Form 8-K/A and the press release attached hereto as Exhibit 99.1 are being furnished to the Securities and Exchange Commission under Item 7.01 of Form 8-K/A in satisfaction of the public disclosure requirements of Regulation FD and shall not be deemed “filed” for any purpose.
