Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

Appointment of Ronald Kaufman and Richard Kamolvathin

 

Effective October 21, 2013, Verity Corp. (the “Company”) appointed Ronald Kaufman and Richard Kamolvathin to the Company’s Board of Directors.

 

Mr. Kaufman, age 57, has been a professional crop and live-stock farmer since 1976. Mr. Kaufman has served on the boards of Farmers Home Association and the Kingsbury County Crop Improvement Board.

 

There is no understanding or arrangement between Mr. Kaufman and any other person pursuant to which Mr. Kaufman was selected as a director. Mr. Kaufmanis the nephew of Duane Spader, the Company’s Chief Executive Officer and a member of the Board of Directors.

 

Mr. Kamolvathin, age 44, has been Executive Vice President of Verity Farms LLC, a wholly owned subsidiary of the Company, since February 2011. From June 2006 through January 2011, Mr. Kamolvathin was a sustainable agriculture field advisor for the Rice Bank Foundation, United Nations Thailand. Prior to such positions, Mr. Kamolvathin worked in the financial services industry.

 

There is no understanding or arrangement between Mr. Kamolvathin and any other person pursuant to which Mr. Kamolvathin was selected as a director. Mr. Kamolvathin does not have any family relationship with any director, executive officer or person nominated or chosen by us to become a director or executive officer.

 

Resignation of Edward J. Jakos

 

On October 21, 2013, Edward J. Jakos,resigned effective as of October 25, 2013, as Chief Financial Officer, Treasurer and Secretary of the Company. In submitting his resignation, Mr. Jakosdid not express any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
