Item 8.01Other Events.

 

On October 23, 2013, New Century Bancorp, Inc. (“NCBC”) mailed a letter to shareholders regarding the pending Agreement and Plan of Merger and Reorganization dated as of September 30, 2013, by and among NCBC, Select Bancorp, Inc. (“Select”) and their respective subsidiary banks.

 

A copy of the letter to shareholders is filed as Exhibit 99.1 to this Current Report on Form 8-K.

 

Additional Information About the Merger and Where to Find It

 

In connection with the proposed merger, NCBC will file with the Securities and Exchange Commission (“SEC”) a Registration Statement on Form S-4 that will contain a joint proxy statement/prospectus of NCBC and Select.
