Regulation FD Disclosure.

On October 23, 2013, the Company issued a press release announcing the signing of Asset Purchase Agreements to acquire two theaters with an aggregate of 15 screens from Flagship Cinemas. The Company has also signed a lease to operate a 12-screen theater beginning April 1, 2014. The press release relating to the Company’s announcement is filed herewith as Exhibit 99.1 and is incorporated by reference herein.
