Morgan Securities LLC and Morgan Stanley & Co. LLC, as Representatives of the several Underwriters named in Schedule I thereto (collectively, the “Underwriters”), on the other side; and (b) an additional $15,000,000 aggregate principal amount of the Company’s 6% Convertible Senior Unsecured Notes due 2018, issuable pursuant to the Underwriters’ over-allotment option (the “Option Notes” and, together with the Underwritten Notes, the “Notes”). The Notes will be issued pursuant to a base indenture, dated as of October 21, 2013, by and between the Company and Wells Fargo, National Association, as trustee (the “Trustee”), as supplemented by a supplemental indenture, dated as of October 21, 2013 (as so supplemented, the “Indenture”), by and between the Company and the Trustee. This opinion is being provided at your request in connection with the filing of the Current Report on Form 8-K (the “Form 8-K”).

In connection with our representation of the Company, and as a basis for the opinion hereinafter set forth, we have examined originals, or copies certified or otherwise identified to our satisfaction, of the following documents (collectively, the “Documents”):

1. 2. The charter of the Company (the “Charter”), certified as of a recent date by the State Department of Assessments and Taxation of Maryland;

3. The Bylaws of the Company (the “Bylaws”), certified as of the date hereof by the Secretary of the Company;

4. Resolutions adopted by the Board of Directors of the Company, or a duly authorized committee thereof (the “Board”), relating to the registration, sale and issuance of the Conversion Shares, certified as of the date hereof by the Secretary of the Company;

5. A certificate of the SDAT as to the good standing of the Company, dated as of the date hereof; and

6. A certificate executed by Michael S. Yecies, Secretary of the Company, dated as of the date hereof.

2. When the Notes shall have been duly executed by the Company and authenticated by the Trustee as provided in the Indenture and the resolutions of the Board and shall have been duly delivered to the purchasers thereof against payment of the agreed consideration therefor as provided in the Underwriting Agreement, the Notes will be duly authorized, executed and delivered.
