Registrant’s Board of Directors and Voting Shareholders on October 17, 2013 approved the Eaton Vance Corp. Executive Performance-Based Compensation Plan Restatement No. 3, a copy of which is filed herewith as Exhibit 10.1.  The Eaton Vance Corp. Executive Performance-Based Compensation Plan provides for incentive compensation to key executives of Eaton Vance Corp. or any subsidiary thereof subject to the satisfaction of performance conditions. This description of the Eaton Vance Corp. Executive Performance-Based Compensation Plan is qualified in its entirety by the actual plan document, which is filed as an Exhibit to this Current Report on Form 8-K.

Submission of Matters to a Vote of Security Holders.


The disclosure under Item 5.02 of this Current Report on Form 8-K in connection with the approval of the Eaton Vance Corp. Executive Performance-Based Compensation Plan Restatement No. 3 is incorporated into this Item 5.07 by reference. The Voting Shareholders approved the matters in Item 5.02 of this Current Report on Form 8-K by unanimous written consent on October 17, 2013.
