Item 5.02 

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On October 11, 2013, the majority of the common stockholders of K-V Pharmaceutical Company (the “Company”), by written consent, increased the number of directors constituting the Company’s Board of Directors (the “Board”) from six to seven and elected James M. Goldfarb, M.D. and Gregory Norden to serve on the Company’s Board.

 

There are no arrangements or understandings between Dr. Goldfarb and any other persons, nor are there any arrangements or understandings between Mr. Norden and any other persons, pursuant to which Dr. Goldfarb and Mr. Norden, respectively, were appointed to serve on the Board. There are no past, current or contemplated transactions between Dr. Goldfarb and the Company, nor are there any such transactions between Mr. Norden and the Company, requiring disclosure pursuant to Item 404(a) of Regulation S-K.

 

The Board does not initially intend to appoint Dr. Goldfarb or Mr. Norden to any Board committees.

 

In conjunction with Dr. Goldfarb’s and Mr. Norden’s respective elections to the Board, both directors received grants of nonqualifed stock options and equity bonus awards pursuant to the Company’s Non-Employee Director Compensation Policy filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed on October 4, 2013. Dr. Goldfarb and Mr. Norden each received a grant of a nonqualifed stock option for the purchase of 20,000 shares of the Company’s common stock. Twenty-five percent of the option vests immediately upon the date of the grant, and, subject to the director’s continued service on the Board, 25% of the option will vest on each of the next three anniversaries of the date of grant. The options were granted to Dr. Goldfarb and Mr. Norden pursuant to option award agreements in substantially the form filed as Exhibit 10.2 to the Company’s Current Report on Form 8-K filed on October 4, 2013.

 

In addition, Dr. Goldfarb and Mr. Norden each received an equity bonus award consisting of (1) 3,751 shares of the Company’s common stock and (2) on each of the first three anniversaries of the initial grant date, subject to the director’s continued service on the Board as of such anniversary, a grant of shares of common stock in a number equal to $125,000 divided by the greater of (A) $32 and (B) the fair market value of one share as of the later of (x) December 31 of the immediately preceding calendar year and (y) the date on which the fair market value of such shares was last determined by the Company or, in the event of extraordinary conditions occurring after such date that materially affect such fair market value, such later date as may be determined by the Board in its sole discretion. Shares of common stock granted to Dr. Goldfarb and Mr. Norden pursuant to the equity bonus awards will be deferred and delivered to Dr. Goldfarb and Mr. Norden as set forth in the equity bonus agreement entered into by each of Dr. Goldfarb and Mr. Norden, in substantially the form filed as Exhibit 10.3 to the Company’s Current Report on Form 8-K filed on October 4, 2013.

 

In connection with the election of Dr. Goldfarb and Mr. Norden to serve on the Board, Mr. Eric Haron resigned his position as Director on October 10, 2013.
