Item 5.02   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. 

On October 16, 2013, Mr. Michael Brauser was appointed Chairman of the Board of usell.com, Inc. (the “Company”).  Mr. Michael Brauser replaced Sergio Zyman who resigned as a director.  Additionally, on the same date, Mr. Daniel Brauser, the Company’s President, was appointed interim Chief Executive Officer and replaced Mr. Zyman.  In connection with his resignation as Chief Executive Officer, Mr. Zyman cancelled 4.5 million shares of common stock and all 1 million options beneficially owned by him.  Mr. Zyman owns 10,000,000 vested shares of common stock.
