Item 8.01. Other Events.

 

As previously disclosed, FS Investment Corporation II (the “Company”) has adopted an “opt in” distribution reinvestment plan for its stockholders. As a result, if the Company makes a cash distribution, its stockholders will receive distributions in cash unless they specifically “opt in” to the distribution reinvestment plan so as to have their cash distributions reinvested in additional shares of the Company’s common stock.  Notwithstanding the foregoing, certain state authorities or regulators may impose restrictions from to time that may prevent or limit a stockholder’s ability to participate in the distribution  reinvestment plan.  Investors should contact their broker or financial intermediary regarding any such restrictions that may be applicable to an investment in the Company’s shares of common stock.
