Item 8.01 Other Events.
On October 15, 2013, we announced that our Board of Directors (the "Board") had deactivated the Special Opportunities Committee (the "SOC") after subsuming the duties of the SOC. We also announced that the Board had terminated our engagement with Deutsche Bank Securities Inc., which had previously been hired to act as financial advisor to the SOC to assist the SOC in evaluating possible strategic and corporate alternatives. We have attached a copy of the press release, which is incorporated herein by reference, as Exhibit 99.1 to this Current Report on Form 8-K.
