Item 8.01  Other Events

To simplify the pending sale of its China business, effective July 1, 2013, Newfield Exploration Company (the “Company”) purchased from Huffco International, LLC the outstanding preferred shares of Newfield China for approximately $20 million. The preferred shares were entitled to dividends equal to 10% of the net profits from certain producing properties in Bohai Bay held by Newfield China. The transaction will be recorded as a one-time charge to the Company’s retained earnings and will reduce third quarter 2013 diluted earnings per share by approximately $0.15.
