Item 7.01 Regulation FD Disclosure

 

On October 2, 2013, UIL Holdings Corporation (the “Registrant”) issued a press release announcing that the underwriters of its public offering of common stock exercised their over-allotment option to purchase an additional 750,000 common shares. The option was granted in connection with the Registrant’s public offering of 5,000,000 common shares, which priced on September 26, 2013, at a public offering price of $37.25 per share, and closed on October 2, 2013. A copy of the press release is attached hereto as Exhibit 99.1.

 

The Registrant is furnishing the information in this Item 7.01 and in Exhibit 99.1 to comply with Regulation FD.
