ITEM 3.02 UNREGISTERED SALES OF EQUITY SECURITIES.
On October 1, 2013 Dixie Foods International, Inc. sold 500,000 shares of its common stock to a private investor for $40,000.
This transaction is exempt from registration under Section 4(2) of the Securities Act of 1933 because the transaction did not involve a public offering.
