ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On September 25, 2013, Mr. Manuel Fernandez, Executive Chairman of the Sysco Corporation (“Sysco”) Board of Directors (the “Board”), informed the Board that he would not stand for reelection at the next annual meeting of shareholders to be held on November 15, 2013, and tendered his resignation as Executive Chairman effective on the annual meeting date. Mr. Fernandez’s resignation was not due to any disagreement with Sysco on any matter relating to Sysco’s operations, policies or practices. Sysco announced Mr. Fernandez’s decisions in a press release dated September 30, 2013, a copy of which is attached hereto as Exhibit 99.1.
