Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Pursuant to the provisions of Section 8.6 of the amended and restated bylaws of Resource America, Inc. (the “Company”), the Board of Directors of the Company has changed the Company’s fiscal year end from September 30 to December 31. The form on which the report covering the transition period will be filed is Form 10-Q for the quarter ended December 31, 2012.
