Section 7 – Regulation FD

Item 7.01 Regulation FD Disclosure.

On September 4, 2013, Michael A. Johnson, Senior Vice President – Accounting, Controller and Chief Accounting Officer, entered into a sales trading plan pursuant to Rule 10b5-1 of the Securities Exchange Act of 1934. The plan will expire no later than June 30, 2014, and has been approved by Chesapeake Energy Corporation (the “Company”) in accordance with its Insider Trading Policy. The plan is part of Mr. Johnson’s long-term strategy to diversify assets. Other Company executives may enter into Rule 10b5-1 trading plans in the future from time to time, and some Company executives have previously entered into such trading plans.

On September 23, 2013, the Company issued a press release announcing that its Board of Directors has declared quarterly common and preferred stock dividends.  A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
