Item 8.01.    Other Events
 
On September 25, 2013, Twenty-First Century Fox, Inc., a Delaware corporation, (the "Company") issued a press release announcing that its wholly-owned subsidiary, News America Incorporated, has priced $300 million of 4.00% Senior Notes due October 1, 2023 and $700 million of 5.40% Senior Notes due October 1, 2043. The Notes will be guaranteed by the Company.

A copy of the press release issued by the Company is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
