Notes Offering
On September 24, 2013, The ADT Corporation issued a press release announcing the pricing of its offering of $1,000,000,000 of 6.250% senior unsecured notes due 2021 (the “notes”) in a transaction exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”). The notes have not been registered under the Securities Act or any state securities laws and will not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and applicable state laws. A copy of the press release is attached as Exhibit 99.1 to this current report and is incorporated herein by reference.
