(a) Amendments to Bylaws
On September 19, 2013, the Board of Directors (Board) of SunCoke Energy, Inc. (Company) approved an amendment to, and restatement of, the Companys Amended and Restated By-laws, effective as of such date, to add an exclusive forum bylaw. Specifically, new Section 7.7 provides that, unless the Company consents in writing to the selection of an alternate forum, the Court of Chancery of the State of Delaware (or other state or federal court in Delaware) will be the sole and exclusive forum for each of the following:
(i) | any derivative action or proceeding brought on behalf of the Company, |
(ii) | any action asserting a claim of breach of a fiduciary duty owed by any director or officer or other employee of the Company to the Company, or its stockholders; |
(iii) | any action arising under any provision of the Delaware General Corporation Law; and |
(iv) | any action asserting a claim governed by the internal affairs doctrine. |
