Item 4.01.    Changes in Registrant’s Certifying Accountant.
On September 17, 2013, UniTek Global Services, Inc. (the “Company”) filed a Current Report on Form 8-K disclosing that on September 16, 2013, the Company, at the direction of the Audit Committee of its Board of Directors, engaged Grant Thornton LLP (“Grant Thornton”) as the Company’s independent registered public accounting firm to audit the Company’s 2013 financial statements.
This Amendment No. 1 to such Current Report on Form 8-K is being filed by the Company solely to disclose that, during the Company’s two most recent fiscal years and through the date of the appointment of Grant Thornton, neither the Company nor anyone on its behalf consulted Grant Thornton regarding (A) the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and no written report or oral advice was provided to the Company that Grant Thornton concluded was an important factor considered by the Company in reaching a decision as to the accounting, auditing or financial reporting issue; or (B) any matter that was the subject of a “disagreement” or “reportable event” (within the meaning of Item 304(a) of Regulation S-K and Item 304(a)(1)(v) of Regulation S-K, respectively).
