Item 8.01 Other Events

As previously disclosed, in connection with the pending merger of equals between OfficeMax Incorporated (the “Company”) and Office Depot, Inc. (“Office Depot”), the Company and Office Depot have formed a CEO Selection Committee to oversee the search process for a chief executive officer for the combined company. On September 18, 2013, Mr. Ravi Saligram, President and Chief Executive Officer of the Company, announced that he has withdrawn his name from consideration for the position of chief executive officer of the combined company. A copy of a letter sent to Company associates is attached as Exhibit 99.1. Mr. Saligram remains fully engaged as President and Chief Executive Officer of the Company.
