Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 11, 2013, the Registrant filed Articles of Amendment to its Articles of Incorporation to change the name of the Registrant from “VII Peaks-KBR Co-Optivist Income BDC II, Inc.” to “VII Peaks Co-Optivist Income BDC II, Inc.” The name change did not require the approval of shareholders under Maryland law, or the articles of incorporation and bylaws of the Registrant.
