Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective as of September 16, 2013, Alaska Communications Systems Group, Inc., a Delaware corporation (the “Company”), appointed Carol G. Mills, to serve on the Company’s Board of Directors (the “Board”).
On September 16, 2013, the Company increased the size of its Board from seven directors to eight directors and appointed Ms. Mills to fill the newly created vacant position on the Board.
Ms. Mills will receive compensation from the Company for service on the Board on the same terms as other non-employee members of the Board.
The Company issued a press release on September 16, 2013 announcing the appointment of Ms. Mills that provided relevant biographical information about Ms. Mills. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
