Item 1.01                                           Entry Into a Material Definitive Agreement.

 

On September 10, 2013, PCM, Inc. and all of its domestic subsidiaries (collectively, the “Borrowers”), entered into a Second Amendment to Third Amended and Restated Loan and Security Agreement (the “Second Amendment”) with certain lenders named therein (the “Lenders”), Wells Fargo Capital Finance, LLC as administrative agent and collateral agent for the Lenders (the “Agent”) and as co-lead arranger and co-bookrunner, and Bank of America, N.A., as co-lead arranger, co-bookrunner, and syndication agent. The Second Amendment provides, among other things, for an increase in the Maximum Credit, as defined in the Third Amended and Restated Loan and Security Agreement, as amended, from $190,000,000 to $200,000,000 effective September 10, 2013.

 

The foregoing description of the Second Amendment is qualified in its entirety by reference to the full text of the Amended Loan Agreement, a copy of which is filed as Exhibit 10.1 hereto, and is incorporated into this report by this reference.
