(d) On September 5, 2013, the Board of Directors of Inphi Corporation (“Inphi”) appointed Mr. Nicholas Brathwaite as a member of the Inphi Board of Directors effective immediately. Mr. Brathwaite was also appointed to the Nominating and Corporate Governance Committee. Mr. Brathwaite will receive the same compensation currently paid to Inphi’s non-employee directors as described in its proxy statement filed in connection with the 2013 Annual Meeting of Stockholders.
