Item 8.01 Other Events.
On September 9, 2013, HealthStream, Inc. (the "Company") purchased substantially all of the assets of Baptist Leadership Group, LLC, a consulting practice owned by Pensacola, Florida-based Baptist Health Care Corporation, for approximately $8.5 million, subject to a working capital adjustment, where $8,000,000 was paid in cash and $500,000 was paid in the Company’s common stock.
