Item 8.01 Other Events.

On September 5, 2013, Banc of California, Inc. announced that its Board of Directors has declared a quarterly cash dividend of $0.12 per share on outstanding shares of its common stock. The dividend will be payable on October 1, 2013 to shareholders of record as of September 16, 2013. Based upon the trading price as of September 4, 2013 of $13.38, this cash dividend results in an annualized dividend yield of 3.59%. A copy of the press release is attached hereto as Exhibit 99.1
