Item 8.01.          Other Events.

On September 3, 2013, Ventas, Inc. (the “Company”) announced that its Board of Directors declared a regular quarterly dividend of $0.67 per share, payable in cash on September 27, 2013 to stockholders of record on September 13, 2013.  The dividend is the third quarterly installment of the Company’s 2013 annual dividend.

A copy of the press release issued by the Company on September 3, 2013 is filed herewith as Exhibit 99.1 and incorporated in this Item 8.01 by reference.
