Item 8.01 Other Events.
On August 30, 2013, Imperial Holdings, Inc. (the “Company”) issued a press release announcing that it filed a registration statement on Form S-1 for a rights offering with the Securities and Exchange Commission. The Company intends to distribute, at no charge, to holders of its common stock, transferable subscription rights to purchase senior notes with terms that have yet to be determined. A copy of the press release dated August 30, 2013 relating to the matters set forth herein is attached to this Current Report on Form 8-K as Exhibit 99.1.
