(c) On August 29, 2013, the Board of Directors of Electronics For Imaging, Inc. (the “Company”) appointed Marc Olin, 48, Senior Vice President and General Manager of EFI Productivity Software, as its interim Chief Financial Officer, effective September 3, 2013. In compensation for his services as interim Chief Financial Officer, Mr. Olin will receive monthly compensation of $29,166, which is equal to the monthly base salary of the former Chief Financial Officer. Other than an increase in his monthly compensation, no new compensatory or severance arrangements were entered into in connection with Mr. Olin’s appointment as interim Chief Financial Officer.
Mr. Olin joined the Company in 2003 when the Company acquired Printcafe Software. Since 2003, Mr. Olin has served in various roles at the Company, most recently since 2006, as Senior Vice President and General Manager of EFI Productivity Software. Mr. Olin holds a B.S. in Graphic Communications Management and Applied Mathematics from Carnegie Mellon University.
In connection with his appointment as interim Chief Financial Officer of the Company, Mr. Olin has entered into an Indemnity Agreement in the form attached as Exhibit 10.1 to the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on February 15, 2008.
There are no related party transactions between the Company and Mr. Olin and there are no family relationships between Mr. Olin and any director or executive officer of the Company.
