Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 27, 2013, Career Education Corporation (the “Company”) implemented a leadership change for its Career Schools group, which consists of its Health Education, Culinary Arts and Design & Technology segments. Lysa Clemens was named Senior Vice President and Chief Career Schools Officer replacing Daniel Hurdle, who will be leaving the organization. The change is designed to bring more education industry experience to the Company’s Career Schools turnaround strategy. Ms. Clemens joined the Company in June as Senior Vice President, Strategic Initiatives, bringing her 20 years of diverse experience in the private education sector to the Company. The Company thanks Mr. Hurdle for his dedicated service to our schools, in which he placed great emphasis on providing extraordinary service to our students, an emphasis that will continue. Mr. Hurdle will receive benefits in accordance with the terms of his May 2012 employment letter agreement with the Company and the Company’s Executive Severance Plan.
