Item 8.01 Other Events.
On August 26, 2013, Lumos Networks Corp. (the “Company”) issued a press release to announce that it has filed a shelf registration statement on Form S-3 with the Securities and Exchange Commission in order to register an aggregate of 5,680,837 shares of common stock to be offered and sold from time to time by the selling stockholders named therein. Other information related to the filing of the shelf registration statement is contained in the press release, a copy of which is attached as Exhibit 99.1 hereto.
