ITEM 8.01 OTHER EVENTS.
On August 21, 2013, Wheeler Real Estate Investment Trust, Inc. (“Wheeler” or the “Company”) issued a press release announcing the pricing of its public offering of 2,750,000 common shares at a price to the public of $4.30 per share, for gross proceeds of approximately $11,825,000. A copy of the press release is attached as Exhibit 99.1 to this current report on Form 8-K and is incorporated herein by reference.
