Item 5.02 Departure of Director or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 19, 2013, the Compensation Committee of the Board of Directors of GT Advanced Technologies Inc. (the “Company”) approved a travel reimbursement program for the Company’s President and Chief Executive Officer, Thomas Gutierrez, that provides up to a maximum amount of $30,000 annually solely for the purpose of reimbursing Mr. Gutierrez for his travel expenses between his primary residence in New Hampshire and his secondary residence in North Carolina. The reimbursement under this travel program will apply retroactively to cover eligible expenses incurred from January 1, 2013.
