On August 22, 2013, Belo Corp. (“Belo”) and Gannett Co., Inc. (“Gannett”) each received a request for additional information and documents (also known as a “second requests”) from the U.S. Department of Justice pursuant to the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, in connection with Gannett’s proposed acquisition of Belo. A copy of the joint press release issued by Belo and Gannett relating to the second request is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
