(b) Departure of Director
On August 19, 2013, Mr. W. Michael Murphy and Mr. Douglas A. Kessler each announced his conditional resignation from the board of directors of Ashford Hospitality Trust, Inc., effective if, and only if, Ashford Hospitality Trust, Inc. completes the anticipated spin-off of Ashford Hospitality Prime, Inc. The Company anticipates that the spin-off will be completed near the end of the third quarter of 2013.
