(b) Resignation of Director
On August 21, 2013, Mr. George M. Davis resigned from the Board of Directors of Rand Worldwide, Inc. (the "Company"). Mr. Davis’ decision was for personal reasons and was not the result of any disagreement with the Company, its management or its Board of Directors.
